These terms explain the agreement between you and RH COMMODITIES when you use QRiva. We've tried to write them in plain language.
1.Who we are and this agreement
QRiva is provided by RH COMMODITIES, registered in Romania under unique registration code (CUI) 25651780, VAT number RO25651780, with its registered office at I.C. Bratianu 3, 077045 Chitila, Ilfov, Romania (“QRiva”, “we”, “us”).
By creating an account or using QRiva you agree to these terms. If you use QRiva for an organisation, you confirm that you're allowed to accept them on its behalf, and “you” means that organisation.
2.Your account
You need to be at least 18 years old, or the age of majority where you live, to create an account. Please give us accurate details and keep them up to date.
You sign in with an e-mail link or a passkey. Keep access to your e-mail and devices secure, and tell us straight away if you think someone else has access to your account.
Workspace owners decide who joins their workspace and which role each person has, and are responsible for what members do in it.
3.The service
QRiva lets you create QR codes, short links, mobile pages, digital business cards, forms, product passports, leads, automations and analytics. What each plan includes is shown on the pricing page.
We improve QRiva continually. We may change or retire features, but we won't remove a paid feature you rely on during a period you've paid for without telling you in advance and offering a fair alternative or a pro-rata refund.
4.Plans, prices and payment
Paid plans are priced per workspace and billed in advance, monthly or yearly. Prices are shown excluding VAT, which is added where it applies. Payments are processed by Stripe; we never see or store your card number.
Plans renew automatically at the end of each period until cancelled. Upgrades take effect immediately and are charged pro rata for the rest of the period. Downgrades and cancellations take effect at the end of the period you've paid for.
If a payment fails, we'll tell you and try again. If it is still unpaid after 14 days, the workspace moves to the Free plan. Printed codes keep working.
We'll give you at least [30] days' notice before a price change affects you, and you can cancel before it applies. Refunds are covered by our refund and cancellation policy.
5.Printed codes
Dynamic codes keep resolving on every plan, including Free, and after you cancel, as described on our “What happens to printed codes” page.
The exceptions are when a destination is unsafe, when content is removed after an abuse report is confirmed, when the law requires it, or when you pause, archive or delete a code yourself.
6.Acceptable use
You agree not to use QRiva to:
- send people to phishing, malware, scams or other harmful destinations;
- publish anything illegal, or anything that infringes someone else's rights;
- send spam, or collect personal data without a lawful basis or the notices the law requires;
- impersonate another person, brand or organisation;
- harass, threaten or discriminate against anyone;
- get around plan limits, rate limits or security measures, or access data that isn't yours;
- overload or disrupt the service, or scrape it at scale;
- resell or white-label QRiva outside the features of your plan without a written agreement with us.
We screen destinations automatically and review reports. If something breaks these rules we may block a destination, take content offline or suspend an account, and we'll tell you why unless the law or safety prevents it. You can ask us to review the decision.
7.Your content and your data
You keep all rights to the content you add to QRiva. You give us permission to host, copy, display and process it only as needed to run the service for you.
For the personal data of your visitors, leads and members, you are the controller and we process it on your behalf, under our data processing terms [link to DPA]. You're responsible for having a lawful basis and giving the notices the law requires — for example on your forms, cards and any tracking tags you add.
You can export your data at any time, including a full workspace export and the redirect table of your codes.
8.Our intellectual property
QRiva, its software, design and brand belong to us or our licensors. These terms give you the right to use QRiva, not ownership of it. Feedback you send us may be used to improve QRiva without obligation.
9.Third-party services
When you connect services such as HubSpot, Google Sheets, Slack, Stripe or your own webhooks, their own terms apply to them, and data you send there is handled by those providers.
10.Availability and support
We work hard to keep QRiva available and publish its status at our status page, but we can't promise it will never be interrupted. Planned maintenance is scheduled to minimise disruption.
Support is provided as described for your plan. Service levels with commitments apply only where agreed in writing, such as an Enterprise agreement.
11.Liability
QRiva is provided with reasonable skill and care. Apart from that and what the law requires, it is provided “as is”.
To the extent the law allows, we're not liable for indirect or consequential losses, lost profits or lost data, and our total liability in any 12 months is limited to [the amount you paid us in those 12 months].
Nothing in these terms limits liability that can't be limited by law, such as for fraud, gross negligence, or death or personal injury caused by negligence, and nothing affects your statutory rights as a consumer.
12.Ending the agreement
You can close your account at any time. Before you do, you can download your data. Deleting codes or closing an account retires their short addresses for good.
We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires it. Where possible we'll warn you first and give you the chance to export your data.
13.Changes to these terms
If we change these terms in a way that matters, we'll tell you by e-mail or in the app at least [30] days before the change applies. If you don't agree, you can cancel before then.
14.Governing law and disputes
These terms are governed by the laws of [Country]. The courts of [City, Country] have jurisdiction, unless the law gives you the right to bring a claim where you live.
If you're a consumer in the EU, you keep the protection of the mandatory laws of the country where you live.
